Terms of Service

Projects are officially "initialized" only after the initial deposit and technical scoping document (Proposal / Service Agreement) are signed by both parties. No work — paid or unpaid — begins before this point, beyond an initial free discovery call.

Timelines provided are estimates based on standard operational parameters. Significant shifts in requirements are handled through our Change Order process and may impact both delivery schedules and cost — nothing changes silently; you'll see and approve any change before it affects your timeline or invoice.

Projects are billed in milestones as set out in your signed Proposal — typically an advance to begin, a mid-project payment on demo approval, and a final payment before handover. Late payments beyond the agreed due date may pause active work. Full payment terms live in your Service Agreement.

Ownership of your project's custom deliverables — code, designs, documentation — transfers to you in full upon receipt of 100% of the agreed project fee. Until then, all work product remains the property of Ugam Digital Studio. Third-party libraries and components we use retain their own original licenses.

Ugam Digital Studio is not liable for indirect or consequential losses resulting from third-party service interruptions or platform API changes post-deployment. Our total liability under any engagement is capped at the total fees paid for that specific deliverable.

Either party may terminate an active engagement with written notice, as detailed in the Service Agreement. You'll be billed only for work completed to date; any advance paid for undelivered work is refunded minus costs already incurred.

These Terms are governed by the laws of India, with courts in Chhatrapati Sambhajinagar, Maharashtra having exclusive jurisdiction.
